Securities investigation over the Dell Inc. acquisition over EMC Corporation

dell emc mergerAn investigation regarding Dell’s acquisition of EMC was launched by a law firm representing EMC shareholders in class action litigation, although no suit has been filed yet. In the $67 billion deal,  shareholders are to receive $24.05 per share, while an analyst reported that EMC shares were actually worth $35.00. With over 90% of mergers and acquisitions resulting in securities litigation, it is not a surprise that a securities investigation has already been launched. Due to the scale of the acquisition, this could be a record-breaking securities suit if one arises.

Since securities suits almost inevitably occur from mergers and acquisitions, it will be interesting to see what results from this investigation. This will be a highly watched case because of the size and could be record-breaking if there is causation found that the shares were actually sold for less than they were worth.
