Merger & Acquisition filings in Delaware are in the decline

Merger & AquisitionThe Delaware Court of Chancery has recently received scrutiny considering merger objection lawsuits are filed in over 95% of mergers & acquisitions. In reaction, there has been a decline in filings within the past month after this issue received much attention towards the end of Q3. Only 5 suits have been filed in the first half of November compared to the 14 suits filed in the first half of October.

In October, there were 24 merger announcements but only a total of 16 suits filed. The drop in merger announcements compared to suits filed was expected considering the pressure that has placed on Delaware Court of Chancery to accept cases with merit. It will be interesting to see if this decline of cases continues and if the cases result in more settlements than dismissals.
